EthiCode is a service brand of Legalnet Kft. The contracting party and invoice issuer is Legalnet Kft.
1. Service Provider details
The Service Provider's details are set out in the Impressum above.
2. Scope and subject
2.1. These General Terms and Conditions (GTC) set out the general terms for using the Service Provider's compliance, training and advisory services relating to artificial intelligence (AI). The Service Provider's services primarily support compliance with the European Union's Artificial Intelligence Act (AI Act), the responsible and lawful corporate use of artificial intelligence, and related data protection and internal governance matters, for small and medium-sized enterprises (SMEs), in a proportionate manner adapted to the company's actual risks.
2.2. These GTC apply exclusively to business entities (including sole traders; hereinafter: the Client). The Service Provider contracts only with non-consumer clients; by entering into the contract, the Client declares that it uses the service within its business or professional activity.
2.3. The individual agreement (order confirmation, acceptance of offer, or separate contract) together with these GTC constitute the entire agreement between the parties. In case of conflict, the provisions of the individual agreement prevail.
3. The services
3.1. The Service Provider currently offers the following main services:
- AI Literacy Training: live, online training for the Client's employees on the responsible and lawful use of artificial intelligence, including support for meeting the AI literacy obligation under Article 4 of the AI Act.
- Policies and templates: a general AI use policy and related document templates that support the internal, governed and secure use of artificial intelligence.
- Tailored solutions: advisory adapted to the Client's risk profile, including higher-risk use cases and the specific needs of companies that also develop AI.
3.2. The exact content, scope and fee of the services are set out in each case in the individual offer/order. The prices shown on the website are indicative, net starting prices (“from” prices) and do not constitute a binding offer.
4. Formation of the contract
4.1. The Client may express interest via the form on the website, by email or otherwise. An expression of interest does not in itself create a contract.
4.2. Following the Client's contact, the Service Provider prepares an individual offer for the Client. The contract is formed upon the Client's written (including email) acceptance of the offer, or upon the Service Provider's order confirmation.
5. Fees and payment terms
5.1. The fees are net amounts and do not include the applicable VAT.
5.2. The Service Provider sends the Client a request for payment (proforma) by email with an 8-day payment deadline, based on which the Client shall pay the fee by transfer to the bank account indicated on the request for payment. The Service Provider is obliged to perform the service only after the full payment of the invoice amount. In the case of advisory provided on the basis of an individual offer, the parties may also agree on a payment schedule and deadline different from this section.
5.3. The parties agree that no separate certificate of performance will be issued; in the case of contractual performance, this agreement qualifies as a certificate of performance.
5.4. In the case of late payment, the Service Provider is entitled to default interest under Act V of 2013 on the Civil Code.
6. Cooperation of the parties; the Client's contribution
6.1. The quality of the service depends significantly on the Client's cooperation. The Client undertakes to provide the information necessary for the performance of the service to the Service Provider accurately and in time.
6.2. The Client is responsible for the accuracy and lawfulness of the data and information it provides.
7. Nature of the service; the Service Provider's liability
7.1. The Service Provider provides the services with the professional care that can reasonably be expected of it. The trainings and the documentation provide general professional information and practical support, and do not constitute individual legal advice tailored to the Client's specific situation, unless the individual agreement expressly provides otherwise.
7.2. Ensuring final compliance and meeting statutory obligations remains the responsibility of the Client. The Service Provider assumes no liability if the Client fails to implement, or improperly implements, the recommendations.
7.3. The Service Provider is liable for damage caused through its own fault up to an amount equal to twice the fee of the service, but is not liable for indirect damages, lost profit or data loss.
8. Confidentiality
8.1. The parties shall keep confidential the confidential information concerning the other party that comes to their knowledge during the service, and shall use it solely for the purpose of performing the contract.
8.2. The confidentiality obligation survives the termination of the contract.
9. Intellectual property
9.1. The training materials, policy templates and documents produced by the Service Provider are protected by copyright, and the economic and usage rights therein belong to the Service Provider. Upon payment of the fee for the service, the Client obtains a non-exclusive right of use of the content of the materials, unlimited in time, on the basis of which it may use them for its own internal purposes in line with the purpose of the service, without time limit, and may share them with its employees; however, it may not share them with third parties outside the Client's organisation or publicly, and in particular may not sell them to third parties.
9.2. The Service Provider is entitled to use the Client's name and logo as a reference for business acquisition purposes without time limit, and to display it on its website.
10. Data processing
10.1. The Service Provider processes personal data in accordance with the applicable data protection legislation (GDPR and the relevant Hungarian law). The details of the data processing are set out in the separate Privacy Notice.
11. Time of performance; termination of the contract
11.1. Where the subject of the service is the delivery of a training, the Service Provider shall hold it at a time agreed in advance with the Client, primarily online. No later than 3 working days before the agreed time of the training, either party may, on one occasion, request a modification of the time and the postponement of the training by no more than 15 days compared to the original time. If the Client cancels the training within 3 working days before the agreed time, the Service Provider is entitled to the fee for the service.
11.2. The contract is concluded for a definite term lasting until the contractual performance by the parties. In view of the definite term, the parties exclude ordinary termination of the contract.
11.3. Either party is entitled to terminate the contract in the event of a material breach by the other party, following a written notice to remedy the breach within a 15-day deadline, after the unsuccessful expiry of that deadline.
12. Force majeure
12.1. Neither party is liable for non-performance or defective performance of the contract due to a cause that is beyond its control, unforeseeable and unavoidable, including in particular a failure due to illness, accident, technical problem or other external circumstance.
13. Final provisions
13.1. These GTC and the parties' legal relationship are governed by Hungarian law. The parties shall seek to settle any disputes primarily amicably. If amicable dispute resolution does not lead to a result, the parties agree to refer the dispute to the courts having competence and jurisdiction under Hungarian law.
13.2. The contract is made in Hungarian and English; in the event of any conflict between the two languages, the Hungarian version prevails.
13.3. The Service Provider is entitled to amend these GTC unilaterally; the amendment takes effect upon publication on the website and does not affect contracts already concluded.
